These Terms of Service ("Terms") form a legally binding contract between you ("User", "you", "your") and Lawyer-Quality Paralegal-Service ("LQPS", "we", "us", "our"), owned and operated by John Sovak, located in Suffern, New York, United States, governing your access to and use of https://lqps.pro (the "Website"), the platform, and related services (collectively, the "Services").

By accessing or using the Services (including creating an account, booking services, scheduling, or making payments), you agree to these Terms. If you do not agree, you must not use the Services.

1. Description of Services & Important Disclaimers

LQPS operates an online marketplace that connects individuals or entities seeking paralegal support ("Customers") with independent paralegal professionals ("Paralegals") who provide non-attorney services such as factual research, document organization/preparation assistance, drafting of factual summaries, and related administrative support tasks.

CRITICAL DISCLAIMER: LQPS IS NOT A LAW FIRM. WE DO NOT PROVIDE LEGAL ADVICE, LEGAL REPRESENTATION, OR ENGAGE IN THE PRACTICE OF LAW. Paralegals on the platform are independent contractors — not employees, agents, or representatives of LQPS. No attorney-client relationship is formed between you and LQPS, or between you and any Paralegal, through use of the Services. All services are strictly non-legal in nature and should not be construed as legal advice or the practice of law. You are solely responsible for reviewing all materials and seeking licensed legal counsel as needed.

2. Eligibility

You must be at least 18 years old and have the legal capacity to form binding contracts. By using the Services, you represent that you meet these requirements and that all information you provide is accurate and complete.

3. Accounts & Security

Certain features require an account. You are responsible for maintaining the confidentiality of your credentials and all activity under your account. Notify us immediately of unauthorized use.

4. Payments and Fees

All services are provided on a prepaid basis or deducted from a credit balance maintained in your account. Pricing is determined based on the paralegal's specialty, applicable discounts (including the 11-for-10 program when earned), and current rates published on the platform.

All payments are processed through third-party payment processors (currently Stripe). You agree to pay all applicable fees and taxes. All sales are final unless expressly stated otherwise in our cancellation policy. We reserve the right to change pricing at any time, with changes effective upon posting on the Website.

5. User Conduct and Content

You agree not to use the Services for any unlawful purpose or in any way that violates these Terms. You are solely responsible for all content you submit, post, or transmit through the Services ("User Content"). You represent and warrant that your User Content does not infringe any third-party rights and complies with all applicable laws.

We reserve the right (but have no obligation) to remove or disable access to any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

6. Intellectual Property

The Services, including all text, graphics, logos, software, and other materials, are owned by LQPS or our licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. Except as expressly permitted herein, you may not copy, modify, distribute, sell, or create derivative works based on any part of the Services.

By submitting User Content, you grant LQPS a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content solely for the purpose of providing and improving the Services.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE QUALITY, ACCURACY, TIMELINESS, OR LEGAL COMPLIANCE OF ANY WORK PRODUCT DELIVERED BY PARALEGALS THROUGH THE PLATFORM. YOU ACKNOWLEDGE THAT YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, USING, AND RELYING ON ANY MATERIALS OR INFORMATION OBTAINED THROUGH THE SERVICES.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LQPS, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE TOTAL AMOUNT PAID BY YOU TO LQPS DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless LQPS and its affiliates, officers, directors, employees, agents, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.

10. Termination

We may suspend or terminate your access to the Services at any time, without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will survive.

11. Dispute Resolution; Arbitration; Class Action Waiver

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Rockland County, New York before one arbitrator. The arbitration shall be administered by the American Arbitration Association pursuant to its Commercial Arbitration Rules. Judgment on the award may be entered in any court having jurisdiction.

YOU AND LQPS EACH AGREE THAT ANY PROCEEDINGS, WHETHER IN ARBITRATION OR IN COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU AND LQPS WAIVE ANY RIGHT TO A JURY TRIAL.

12. Changes to Terms

We may modify these Terms at any time by posting the revised version on the Website. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of such changes.
